 By - Laws Ratified

 


The regular meeting of the Allegany Gridiron voted to make one change to the newly written by - laws.  In Article VI under Meetings, Section 4 the majority of the the members agreed to strike the sentence concerning complaints of parents to the gridiron. The sentence in question has been removed as you will be able to see in Section 4. New by-laws will be printed and signed by the by law committee members by the next meeting.  Thank you to the by laws committee for undertaking this much needed project.

ALLEGANY GRIDIRON BY - LAWS

 

 

The official title of this organization shall be the Allegany Gridiron Club.

 

ARTICLE II

PURPOSE AND MISSION

 

Section 1.

The Allegany Gridiron Club is an organization open to individuals who wish to join for the purpose of supporting the football program at Allegany High School.

 

Section 2.

The primary mission of this organization is to provide supplementary funds and manpower to the football program of Allegany High School where this organization deems necessary; to support staff, athletes, and opponents as ambassadors of Allegany High School Football.

 

ARTICLE III

OFFICERS

 

 

Section 1.

The Allegany Gridiron Club shall be governed by the following ELECTED OFFICERS, hereinafter referred to as, Executive Officers; President, 1st Vice President, 2nd Vice President, Secretary, and

Treasurer.

The President shall schedule and preside at all meetings of the Allegany Gridiron Club. The President shall appoint the chairs of all committees and name other club members to each committee to act in conjunction with the Committee Chairperson. The President shall serve as an ad hoc official of all committees, and shall only exercise the right to vote in the event of a tiebreaker. The President shall serve as the official spokesperson for the Allegany Gridiron Club or may designate and/or appoint any member to act in any such capacity that may become necessary to carry out the official mandates of the club. The President or his/her official designate shall maintain a membership roster, record roll at all meetings, maintain a record of attendance at all meetings and/or designated work details, and be responsible for the safekeeping of all records of club functions and meetings.

 

B. 1st Vice President:

In the absence of the President, it shall be the duties of the 1st Vice President to assume the duties of the President and/or to assist the President in the discharge of his/her many duties. The 1st Vice President shall be assigned the duties as Fundraising Chairperson, and shall coordinate efforts with other club members as deemed necessary to accomplish the goal of generating ideas for fundraising and to report to the general membership his/her recommendation for same.

 

C. 2nd Vice President:

In the absence of the 1st Vice President, the 2nd Vice President shall assume the duties of the 1st Vice President. The 2nd Vice President shall be assigned the duties as Membership Chairperson, and shall coordinate efforts with the Membership Committee as well as other club members on ideas for soliciting and increasing membership and to report to the general membership his/her recommendation for same.

D. Secretary:

It shall be the duties of the Secretary to record the minutes of each meeting of the Allegany Gridiron Club. The Secretary shall then retain custody of any and all such minutes, and at each meeting of the Allegany Gridiron Club, minutes from the previous meeting shall be read. Said minutes shall then be accepted and approved as read, or amended and/or corrected as necessary. The Secretary shall safely keep record of all minutes for the purpose of referral until such time as his/her successor has been duly elected.

 

E. Treasurer:

It shall be the duties of the Treasurer to carry out the fiscal mandates of the Allegany Gridiron Club, and oversee its financial resource and responsibilities. The Treasurer shall endeavor to keep meticulous records, and is responsible for all financial deposits, expenditures, and fiscal record-keeping of the organization. The Treasurer shall give a thorough financial report at each meeting, at which time the report shall be accepted and approved as given, or amended and/or corrected as necessary.

 

ARTICLE IV

Membership

 

Annual membership in the Allegany Gridiron Club shall be granted to individuals who wish to serve the mission and purpose of this organization and are qualified by purchasing an annual membership. Membership in the Allegany Gridiron Club shall be open to any individual wishing to serve the organization as outlined in Article II, Section 1. In addition, members must be of high moral character and must not have been convicted of any felony in any state. Membership in the Allegany Gridiron Club shall consist of General Members, Student Members, and

Honorary Members.

 

Section 2.

The annual cost for General Membership shall be voted on by members of the Allegany Gridiron Club and shall be due the first week of February and will be valid through the following January. Members may at any time purchase a Lifetime Regular Membership for one hundred dollars, ($100.00). The membership year shall consist of the year beginning the first day of February to the last day of January.

 

Section 3.

General Membership; shall be individuals who are of post-graduate age and shall be permitted to vote on all issues before the Allegany Gridiron Club so long as they meet the requirements as outlined in Article VIII, 'Eligibility Requirement For Voting Member'.

 

Section 4.

Student Members; Shall be students currently enrolled in Allegany High School, and shall be considered non-voting members. Student Members shall be eligible for any discounts afforded them during Allegany High School functions such as; bus trips, meals, miscellaneous purchases, etc. Student members may attend meetings and shall have the privilege to make suggestions, relay student concerns, share ideas, and may volunteer at Gridiron functions. The intent is to help establish and foster a long-term and prosperous relationship with the Allegany Gridiron Club and the Allegany High School football program well into their adult years. The cost of student membership shall be half the cost of a General membership.

 

 

Section 5.

Honorary Members; shall be an individual who has held paid membership in the Allegany Gridiron Club for a period of not less than ten years of uninterrupted service. Honorary members shall be considered non-voting members and may attend regular meetings, have the privilege to make suggestions, share ideas, participate in fundraising objectives, and may volunteer at Gridiron functions. Dues for Honorary membership shall be waived in lieu of dedicated past service. Induction into Honorary membership is not automatic. Honorary membership shall be applied for and voted on at a regularly scheduled meeting with a majority vote needed for approval.

 

ARTICLE V

Terms of Membership///Disciplinary Proceedings

*Executive Session

 

 

 

Section 1.

Any member who has violated the terms of membership or other By-Laws contained herein shall have their case referred to the Executive Board for executive decision. Such decision may result in the immediate revocation of membership or suspension from membership in the Allegany Gridiron Club for a period of time to be determined by the Executive Board.

 

ARTICLE VI

Meetings

 

Section 1.

Meetings shall be pre-scheduled and advertised by the President. The President shall endeavor to conduct monthly meetings. Meetings may be postponed or added as the need arises based on necessity after having been voted on and approved by the general membership at a regularly schedule meeting prior to that vote. At the very least, the President shall conduct a minimum of at least one meeting every other month throughout the year.

 

Section 2.

It shall take a minimum of seven general members to constitute a quorum under which any official meeting or business may be conducted, or under which any official or financial transaction may occur.

 

Section 3.

All meetings shall be held in accordance with the standards of parliamentary procedure as outlined in, 'Roberts Rules of Order', newly revised and current addition.

 

Section 4.

Meetings of the Gridiron club shall not serve as a forum to criticize coaches or circumvent any decisions made by the coaching staff. However, the Gridiron club reserves the right to hear complaints of parents or interested parties regarding the mistreatment of any players by coaching staff, or of any misconduct by the coaching staff; and shall reserve the right of appropriate redress to any such complaint.

Section 5.

*Executive Session; The Allegany Gridiron Club Executive Officers may from time to time hold executive meetings to discuss issues germane to disciplinary proceedings of members who have violated terms of membership or other such matters that would otherwise be inappropriate to discuss in the more informal setting of a regular meeting.

 

 

 

 

Article VII

Committees

 

Committees for the Allegany Gridiron Club shall consist of; Standing Committees and Special Committees. The Standing Committees shall be; By-Laws Committee, Membership Committee, and Fundraising Committee. The President shall appoint a chairperson and not less than two other members to assist with the duties of each committee. Special Committees shall from time to time be appointed by the President as deemed appropriate and necessary

 

ARTICLE VIII

Eligibility Requirement For Voting Member

And Election To Office

 

To be eligible to seek any elected office, make nominations for elected office, or to participate in any vote, Allegany Gridiron Club members must be in good standing. The criteria for a member in good standing shall be as follows;

A. Dues must be current and paid in full, and;

B. Attendance required to at least half of the preceding Gridiron

Meetings in that calendar year, or;

C. Attendance to at least two Gridiron meetings in that calendar year and

participation in at least three established work details in the same year.

(Work Details must be verified by the Executive Board), and;

D. Not currently serving any restriction or suspension from the Allegany

Gridiron Club imposed by the Executive Officers for a violation of

by-laws, or legal standards of good conduct.

 

ARTICLE IX

Nomination And Election Of Officers

 

Section 1.

Nominations and election of new officers shall be conducted during the first regularly scheduled meeting of January.

 

Section 2.

A convenient and suitable meeting place, date, and time of day for elections to be held, will be decided on by a majority of members present at the last meeting of December and prior to the Election of Officers Meeting in January.

 

 

 

 

Section 3

. A notice of the meeting date, time, and place of nominations and the annual election for officers shall be published at least once in the local newspaper during the first week of January.

 

Section 4.

Election to office shall be decided by a majority of the votes cast.

 

Section 5.

New officers shall assume the duties of their office at the next meeting following election of officers, and shall serve for a term of one year, or until their successors are elected.

 

Section 6.

Any Office that unexpectedly becomes vacant throughout the year shall be filled by nomination and vote by a majority of those present during a special election to be held during the next regular meeting after the vacancy has occurred.

 

ARTICLE X

Fiscal Responsibility

 

Section 1

. Fiscal year for the Allegany Gridiron club shall be from February 1st to February 1st of the following year.

 

Section 2.

Any money collected for, or in the name of Allegany Gridiron Club shall immediately be turned over to the Club Treasurer for deposit.

 

Section 3.

No Funds, nor commitment for the expenditure of funds, may be made without prior approval and authorization of membership at a regularly scheduled meeting.

 

ARTICLE XI

Amendment of By-Laws

 

Section 1.

Proposed amendments or changes to the Allegany Gridiron Club By-Laws, shall only be made after having been submitted in writing and read to the general membership present, at a regularly scheduled meeting preceding the meeting in which a vote shall be taken for the amendment or change.

 

Section 2.

Subsequent to Article XI, Section #1, proposed amendments or changes to these By-Laws shall then be voted on by the general membership present at a regularly scheduled meeting of the Allegany Gridiron Club, and shall be decided on by three-fourths of the members present at that meeting.

 

 

 

 

 

 

 

ARTICLE XII

Disposition of Funds Upon Disbandment of

Allegany Gridiron Club

 

Section 1.

In the unlikely event that it becomes necessary to disband the Allegany Gridiron Club, the current Executive Board Officers shall immediately freeze any all monetary funds and other assets including tangible property of the Allegany Gridiron Club, and to assume fiduciary responsibilities as required by law.

 

Section 2.

It shall become the fiduciary responsibility of the Allegany Gridiron Club Executive Officers to maintain any and all monetary assets and tangible property for a period of not less than ninety, (90) days. The Executive Officers shall in those ninety days, endeavor to satisfy any and all outstanding debts, accounts payable, etc., which is currently owed by the Allegany Gridiron Club.

 

Section 3.

At the end of those ninety days, under the direction of the majority of Executive Board Officers, any and all tangible property shall immediately be delivered to the current Allegany High School Head Football Coach and School Principal for appropriate and equal distribution at their discretion to all Allegany High School football athletes.

 

Section 4.

Finally, at the end of those ninety days, under the direction of the majority of Executive Board Officers, one hundred percent of all remaining monetary funds shall be deposited in either an endowment fund, certificate of deposit, or other such account, in a certified banking institution, with the current Allegany High School Head Football Coach and School Principal assigned as sole custodians or trustees of said account.

 

Section 5.

It is the intentions of the Allegany Gridiron Club that these funds be used exclusively for the benefit of the Allegany High School Varsity Football Team that has become State Champions; to purchase for each player an award such as a ring, watch, etc., not to exceed the cost of the award.
